Brainloop Secure Dataroom delivers Secure Communication for GeMit, Germany's Largest Mezzanine Fund

Brainloop Secure Dataroom, the virtual document vault for highly secure exchange of confidential business documents, was successfully implemented by Buchanan Capital Group in its GeMit Mittelstandsfondsprojekt. GeMit is Germany's largest mezzanine fund, with a volume of 320 million euro. All complex and highly confidential communication processes during the investment phase were conducted in Brainloop Secure Dataroom. Only authorized persons could exchange and edit confidential documents in the GeMit Dataroom, and thus see exactly who had worked on what document. The Dataroom's role concept defined the access rights of all parties involved.

After Starnberg, Germany-based Buchanan Capital Group had initiated the fund together with its partners DZ Bank and DZ Private Equity Group successfully during the summer of 2004, family owned medium sized companies were looked for who would be eligible for mezzanine capital. Buchanan Mezzanine GmbH, DZ Bank, Euler Hermes Rating GmbH, and legal advisor Clifford Chance as well as 6 qualified investment experts selected the candidates and completed due diligence.


The GeMit funds project participants accessed the dataroom that Buchanan created for each candidate securely through the internet. Brainloop's ASP service is hosted in a highly secure data center operated by Deutsche Telekom. Documents are protected by encryption at all times, during transport as well as during storage. The Dataroom not only provides GeMit with secure and confidential communication, it also provides an integrated audit-trail. After completing the 13 due diligence processes, Buchanan archived the dataroom contents (including audit-trail) on CD-ROM's.


Jan von Hofacker, managing director of Buchanan Mezzanine GmbH and one of the administrators of the GeMit Dataroom summarises his experience: "Brainloop's web-based Secure Dataroom was an enormous assistance for the management of the investment phase of our GeMit I-project. The Dataroom was exactly the secure collaboration environment we needed for the fund partners in this phase. And the logistic needs in future projects that Buchanan has planned for the next couple of years, are even more complex than the first GeMit funds. These can only be accomplished using a highly secure virtual data room."
